1. Acceptance of these Terms
These Terms & Conditions (the "Terms") govern your access to and use of the PrecisionCook Supply website located at precisioncooksupply.com and any related subdomains (collectively, the "Site"), as well as your purchase and use of any products, services, or support we make available through the Site (together, the "Services"). The Site is operated by PrecisionCook Supply ("PrecisionCook Supply," "we," "us," or "our").
By accessing, browsing, or using the Site or Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and all additional policies referenced in them, including our Privacy Policy. If you do not agree to these Terms, you must not access or use the Site or Services.
If you are using the Site or Services on behalf of a business, catering operation, restaurant group, educational institution, or other organization (a "Customer"), you represent and warrant that you have the authority to bind that Customer to these Terms, and "you" and "your" will refer to both you as an individual user and the Customer you represent.
2. Eligibility and Account Registration
You must be at least 18 years old, or the age of majority in your jurisdiction, whichever is higher, to place orders or create an account on the Site. By using the Site, you confirm that you meet this requirement and that all information you provide is accurate, current, and complete.
Certain features of the Site or Services may require you to create an account. When you create an account, you agree to:
- Provide truthful and complete registration information;
- Keep your login credentials confidential and secure;
- Notify us promptly of any unauthorized use of your account or any other security incident; and
- Accept responsibility for all activities that occur under your account.
We reserve the right, at our sole discretion, to refuse registration, suspend, or terminate accounts that we believe are being misused, contain inaccurate information, or otherwise violate these Terms.
3. Commercial Use and Professional Responsibility
The equipment and accessories offered by PrecisionCook Supply are primarily intended for professional and commercial kitchen environments, including restaurants, hotels, catering services, institutional kitchens, and culinary education facilities. You are solely responsible for determining whether any product is appropriate for your intended use, location, and operational standards.
You agree to ensure that all personnel who install, operate, or maintain our equipment are appropriately trained and qualified, and that they follow manufacturer instructions, local regulations, health and safety codes, and any applicable food safety requirements. PrecisionCook Supply does not supervise or control how you use the products and is not responsible for unsafe, improper, or non-compliant use.
4. Orders, Pricing, and Payment
By placing an order through the Site, you make an offer to purchase the selected products or services under these Terms. All orders are subject to acceptance by PrecisionCook Supply. We may reject or cancel an order, in whole or in part, for reasons including but not limited to product availability, inaccurate pricing, suspected fraud, or compliance with applicable laws.
Unless otherwise stated, prices on the Site are displayed in U.S. dollars and exclude applicable taxes, duties, shipping, and handling fees. You are responsible for all such additional amounts, which will be disclosed during checkout where reasonably possible.
You authorize us and our payment processors to charge the payment method you provide for the full amount of your order, including taxes and shipping. By submitting payment information, you represent and warrant that you are authorized to use the payment method and that the information is accurate and complete. We may use third-party payment processors; your use of those services may be subject to additional terms imposed by the payment provider.
5. Shipping, Delivery, and Risk of Loss
We will arrange shipment of the products you purchase to the shipping address you provide at checkout. Any shipping or delivery dates we provide are estimates only and are not guaranteed. We are not liable for delays in shipment or delivery caused by carriers, customs procedures, weather, or other factors beyond our reasonable control.
Risk of loss or damage to products passes to you when the products are delivered to the carrier for shipment. You are responsible for inspecting shipments upon delivery and documenting any visible damage or shortages with the carrier. If you believe products have been delivered damaged or are missing items, you must notify us within a reasonable period and cooperate with any investigation or claim with the carrier.
6. Returns, Exchanges, and Cancellations
Our ability to accept returns or exchanges depends on the product category, its condition, and any applicable manufacturer policies. Some commercial kitchen equipment may be non-returnable once installed, customized, or used in a food preparation environment.
Where permitted by our return policies, returned items must typically be in unused, resalable condition with original packaging, manuals, and accessories. You are responsible for securely packaging returned items and, unless otherwise specified, for return shipping costs. We may deduct restocking fees or costs associated with missing or damaged components from any refund or credit.
Order cancellations or modifications are not guaranteed once an order has been submitted. We will make reasonable efforts to accommodate requests that reach us before products ship or before service work begins, but production, customization, or freight arrangements may limit or prevent changes.
7. Product Information, Availability, and Changes
We strive to provide accurate information about our products, including descriptions, specifications, compatibility notes, and availability. However, we do not warrant that all information on the Site is always error-free, complete, or current. We reserve the right to correct errors, update information, change product specifications, or discontinue products at any time without prior notice.
Images, diagrams, and illustrative content on the Site are provided for general reference only and may not perfectly reflect the actual product or configuration you receive. Color, finish, or design details may vary based on manufacturing changes, supplier updates, or your selected options.
If a product is listed at an incorrect price or with incorrect information due to a typographical error, system issue, or error in pricing or product information, we may, at our discretion, cancel any orders placed for that product and refund any amounts you have paid.
8. Intellectual Property
All content on the Site, including text, graphics, logos, icons, images, product names, documentation, and any combination thereof (collectively, the "Content"), is owned by or licensed to PrecisionCook Supply and is protected by copyright, trademark, and other intellectual property laws. Except as expressly permitted in these Terms, you may not reproduce, distribute, modify, display, perform, or create derivative works of any Content without our prior written consent.
You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Site solely for evaluating and purchasing products and services from PrecisionCook Supply and for operating and maintaining equipment you have obtained from us. This license does not allow you to resell or exploit the Site or Content for any commercial purpose beyond your own internal business operations.
All trademarks, service marks, and trade names appearing on the Site are the property of their respective owners. Use of any third-party marks or product names is for identification purposes only and does not imply sponsorship or endorsement.
9. Acceptable Use of the Site
You agree to use the Site and Services lawfully and in a manner that does not harm, interfere with, or unreasonably burden PrecisionCook Supply, our suppliers, or other users. Without limiting the foregoing, you agree that you will not:
- Use the Site in any way that violates applicable laws, regulations, or food safety standards;
- Attempt to gain unauthorized access to any systems, networks, or data connected to the Site;
- Probe, scan, or test the vulnerability of the Site or circumvent security or authentication measures;
- Use any automated means, including bots, crawlers, or scripts, to access the Site in a manner that burdens our infrastructure or interferes with normal operation;
- Upload, transmit, or distribute any malicious code, viruses, or other harmful software;
- Impersonate any person or entity or falsely state or misrepresent your affiliation with a person or entity; or
- Remove, obscure, or alter any proprietary notices, labels, or legal marks on the Site or in documentation.
10. User Feedback and Submissions
If you provide us with feedback, suggestions, product reviews, or other submissions regarding the Site, Services, or equipment ("Feedback"), you grant PrecisionCook Supply a worldwide, perpetual, irrevocable, royalty-free license to use, reproduce, modify, adapt, publish, translate, distribute, and display such Feedback, in whole or in part, in any form, media, or technology, whether now known or later developed, without compensation to you.
We may, but are not obligated to, monitor, moderate, or remove user-generated content on the Site that we determine to be inaccurate, misleading, or inconsistent with these Terms, without prior notice.
11. Warranties and Disclaimers
Many of the products we distribute are covered by manufacturer warranties, which may describe coverage periods, conditions, and limitations specific to that product. Any such warranties are provided by the manufacturer, not by PrecisionCook Supply, unless expressly stated otherwise. Your rights under manufacturer warranties are in addition to, and do not replace, any rights you may have under applicable law.
EXCEPT AS EXPRESSLY PROVIDED IN A WRITTEN WARRANTY DOCUMENT ACCOMPANYING A PRODUCT, THE SITE, SERVICES, AND ALL PRODUCTS OFFERED THROUGH THE SITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRECISIONCOOK SUPPLY DISCLAIMS ALL OTHER WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not guarantee that the Site will be uninterrupted, secure, or free from errors, or that any defects will be corrected. Guidance, recipes, or recommended settings provided through the Site are for general informational purposes only and do not constitute professional or regulatory advice.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL PRECISIONCOOK SUPPLY, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE, SERVICES, OR PRODUCTS, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS, THE SITE, SERVICES, OR PRODUCTS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO PRECISIONCOOK SUPPLY FOR THE PRODUCT OR SERVICE GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US $100).
The limitations in this section apply even if any remedy fails of its essential purpose. Nothing in these Terms is intended to exclude or limit liability that cannot be excluded or limited under applicable law.
13. Indemnification
You agree to indemnify, defend, and hold harmless PrecisionCook Supply, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use or misuse of the Site, Services, or products;
- Your violation of these Terms or any applicable law or regulation; or
- Your infringement or alleged infringement of any intellectual property or other rights of a third party.
We reserve the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with our defense of such claim.

16. Suspension and Termination

Upon termination, your right to use the Site and Services will immediately cease. Sections of these Terms that by their nature should survive termination, including but not limited to payment obligations, intellectual property rights, disclaimers, limitations of liability, and indemnity provisions, will continue to apply.
17. Changes to the Site or to these Terms
We may update or modify the Site, Services, or any portion thereof at any time, including by adding or removing features, updating product offerings, or adjusting pricing. We will make reasonable efforts to ensure that such changes do not materially reduce the overall functionality of the Site for existing customers without prior notice.
We may also revise these Terms from time to time. When we make material changes, we will update the "Last updated" date at the top of this page and, where appropriate, provide additional notice, such as by posting a banner on the Site or sending you an email. Your continued use of the Site or Services after the effective date of any revised Terms constitutes your acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Site and Services.
18. Governing Law and Dispute Resolution
These Terms and any dispute arising out of or related to your use of the Site, Services, or products will be governed by and construed in accordance with the laws of the jurisdiction in which PrecisionCook Supply is organized, without regard to conflict of law principles that would result in the application of the laws of any other jurisdiction.
You and PrecisionCook Supply agree to first attempt to resolve any dispute informally by contacting the other party in writing and describing the nature of the dispute. If the dispute is not resolved through informal negotiations within a reasonable period, either party may pursue available legal or equitable remedies in a court of competent jurisdiction.
To the extent permitted by law, you and PrecisionCook Supply agree that any proceedings to resolve or litigate any dispute will be conducted solely on an individual basis, and that neither party will seek to have any dispute heard as a class action, representative action, or collective action.
19. International Use
The Site may be accessible from countries other than the country in which PrecisionCook Supply is based. We do not represent that the Site, Services, or products are appropriate or available for use in all locations. Accessing the Site from territories where its content is illegal or restricted is prohibited.
If you choose to access the Site from outside our primary operating jurisdiction, you do so on your own initiative and are responsible for compliance with local laws, including import, export, safety, and tax regulations. You further agree that you will not use the products or Services in violation of any applicable export control or sanctions laws.
20. Miscellaneous
If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
You may not assign or transfer your rights or obligations under these Terms, by operation of law or otherwise, without our prior written consent. We may assign our rights and obligations under these Terms without restriction in connection with a merger, acquisition, corporate reorganization, or sale of assets.
These Terms, together with any other policies or agreements expressly incorporated by reference, constitute the entire agreement between you and PrecisionCook Supply regarding your use of the Site, Services, and products, and supersede any prior or contemporaneous understandings, agreements, or representations, whether written or oral.
